1. Introduction

These Terms and Conditions ("Terms") govern your use of OrgForward, the organizational assessment platform ("Service") provided by FocusFirst GmbH ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

OrgForward is a comprehensive platform designed for organizational health assessment and stakeholder management. The platform enables organizations to conduct structured assessments and manage stakeholder relationships effectively.

4. User Accounts and Registration

4.1 Account Creation

To use our Service, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Responsibility

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4.3 Organizational Access

You may only access data belonging to organizations where you have authorized access.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for legitimate business purposes related to organizational assessment and stakeholder management.

5.2 Prohibited Use

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to other users' accounts or data
  • Upload malicious software or engage in any form of cyber attack
  • Violate any laws or regulations in your jurisdiction
  • Share access credentials with unauthorized parties

6. Data and Privacy

6.1 Data Ownership

You retain ownership of all data you input into the Service. We do not claim ownership of your organizational data, stakeholder information, or assessment results.

6.2 Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR.

6.3 Data Security

We implement industry-standard security measures to protect your data.

7. Intellectual Property

7.1 Our IP

The Service, including all software, content, trademarks, and intellectual property, remains our property or that of our licensors.

7.2 Your IP

You retain all rights to your data and content. By using the Service, you grant us a limited license to process your data solely to provide the Service.

8. Subscription and Billing

8.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Pricing is available on our website and may be subject to change with advance notice.

8.2 Payment Terms

Subscription fees are billed in advance and are non-refundable except where required by law.

8.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date.

9. Limitation of Liability

9.1 Service Availability

We strive to provide reliable service but do not guarantee 100% uptime. We are not liable for temporary unavailability of the Service.

9.2 Liability Limits

To the maximum extent permitted by law, our liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

9.3 Indirect Damages

We are not liable for indirect, incidental, special, or consequential damages.

10. Termination

10.1 Termination by You

You may terminate your account at any time by following the cancellation process in your account settings.

10.2 Termination by Us

We may terminate your access to the Service if you breach these Terms or engage in prohibited activities.

10.3 Data Retention

Upon termination, we will retain your data for a reasonable period to allow for reactivation, then delete it in accordance with our data retention policy.

11. Governing Law

11.1 Jurisdiction

These Terms are governed by German law. Any disputes shall be resolved in the courts of Frankfurt am Main, Germany.

11.2 EU Compliance

We comply with applicable EU regulations including GDPR and consumer protection laws.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
